Terms of use
Last updated: [DATE]. [YOUR COMPANY NAME], [ADDRESS] (“we”) provides RingSparrow (“the app”).
This is a starting template, not legal advice. Have a lawyer review it for the countries you sell in before launch, and fill in every [BRACKET].
1. What RingSparrow is
RingSparrow is software that helps you keep a list of contacts and send them text messages and emails. Messages are sent through accounts you hold with third parties (for example Twilio, Mailgun, SendGrid, Postmark, OpenAI or Anthropic). You pay those providers directly under their own terms.
2. Your licence
A licence code is a one-time purchase that unlocks the features listed for its level for the lifetime of the product. It is for use by the account that redeems it. Codes can’t be transferred or resold after redemption. “Lifetime” means the lifetime of RingSparrow; if we ever shut RingSparrow down we will give at least [90] days’ notice and a way to export your data.
Monthly limits (for example, on sends made while the app is closed) are listed in the app and on the product page. They reset on the first day of each month (UTC).
3. Your data
Your contacts, conversations, notes, pipeline, templates and workflows are stored in your browser on your device. We don’t receive them. What our servers hold is described in the privacy notice. You are responsible for backing up your data using the app’s export feature; we can’t recover data stored on your device.
4. Your responsibilities when messaging people
You are the sender of every message. You agree to:
- only message people who have given you permission to contact them, as the law where they live requires (for example the TCPA in the US, CASL in Canada, PECR/GDPR in the UK and EU, and TRAI rules including DLT registration in India);
- honour opt-outs. RingSparrow stops texts to anyone who replies STOP and stops emails to anyone who unsubscribes; you must not work around this;
- register your business and numbers where carriers require it (for example A2P 10DLC in the US);
- include accurate sender details and a physical postal address in marketing emails;
- not send spam, illegal content, phishing, or messages that impersonate someone else;
- follow the terms of Twilio and any other provider you connect.
We may suspend server features for an account that we reasonably believe is being used to break these rules or the law.
5. AI features
The AI reply assistant uses your own AI provider key. AI can make mistakes. You are responsible for the business information and instructions you give it and for the messages it sends on your behalf. Review how it answers before turning it on.
6. Refunds
[Describe your refund policy: the marketplace’s refund window for purchases made there (check AppSumo’s current terms), and your own policy for direct purchases.]
7. No warranty and limits of liability
RingSparrow is provided “as is”. To the extent the law allows, we aren’t liable for indirect or consequential losses, for messages that fail to deliver, for charges from third-party providers, or for data lost from your device. Our total liability is limited to the amount you paid for your licence.
8. Changes
We may update these terms. If a change materially affects you, we’ll show a notice in the app before it takes effect.
